IMPORTANT — PLEASE READ CAREFULLY

THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, A MASS ACTION WAIVER, AND A JURY TRIAL WAIVER (SEE SECTIONS 20–24) THAT AFFECT YOUR LEGAL RIGHTS. DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS THROUGH FINAL AND BINDING ARBITRATION, EXCEPT AS EXPRESSLY PROVIDED HEREIN. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 24.

BY ACCESSING OR USING OUR WEBSITE OR PURCHASING FROM US, YOU ACCEPT AND ARE BOUND BY THESE TERMS IN THEIR ENTIRETY.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of thehonorunionusa.com, including any related subdomains, checkout funnels, landing pages, and mobile experiences (collectively, the "Website"), and any purchase of products or subscription services ("Products") offered through the Website.

By accessing or using the Website, creating an account, enrolling in a subscription, or purchasing any Product, you:

• Represent that you are at least eighteen (18) years of age;

• Represent that you have full legal capacity to enter into a binding agreement;

• Agree to be bound by these Terms in their entirety.

If you do not agree, you must not access or use the Website.

1.1 Electronic Assent; Clickwrap

By clicking "Complete Purchase" or any equivalent purchase confirmation button at checkout, you are taking an affirmative action that constitutes legally binding electronic consent to these Terms, including all subscription billing terms disclosed at the point of purchase.

1.2 Modifications to Terms

We may revise these Terms at any time in our sole discretion. If changes are material, we will provide reasonable notice via email, account notification, or website banner. Your continued use of the Website after changes become effective constitutes acceptance of the revised Terms.

2. Website Use & Access

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website solely for personal, non-commercial use. We reserve the right to modify or discontinue any part of the Website, restrict or terminate access, or refuse service to any user at any time and for any reason.

3. Account Security

If you create an account, you must provide accurate and current information. You are responsible for maintaining the confidentiality of your login credentials and must notify us immediately at Hello@thehonorunionusa.com of any unauthorized access. We may disable accounts at our discretion for violations of these Terms.

4. Prohibited Uses

You agree not to:

• Violate any applicable law or regulation;

• Scrape, crawl, or use automated means to access the Website;

• Interfere with Website security or functionality;

• Upload malicious code or viruses;

• Engage in fraudulent or deceptive conduct;

• Impersonate any person or entity;

• Infringe any intellectual property or privacy rights;

• Collect personal information of other users.

5. Intellectual Property

All Website content — including text, images, graphics, trademarks, logos, and design elements — is owned by or licensed to ("The Honor Union"). You may not reproduce, distribute, modify, or exploit Website content without our prior written consent.

6. Products; No Medical or Professional Advice

All information provided on the Website is for informational purposes only.

7. Electronic Communications; Consent

By using the Website or making a purchase, you consent to receive electronic communications from us, including order confirmations, shipping notifications, subscription reminders, and customer service communications. You may opt out of marketing emails via the unsubscribe link in such communications.

8. Privacy; Cookies & Tracking

All information we collect is subject to our Privacy Policy, which is incorporated into these Terms by reference. Our Website uses cookies, pixels, and similar tracking technologies to enhance user experience and support marketing activities.

9. Payments & Billing

9.1 Orders as Offers

An order submitted by you constitutes an offer to purchase Products. All orders are subject to acceptance by The Honor Union. We reserve the right to refuse or cancel any order at our discretion, including for suspected fraud, pricing errors, or product unavailability.

9.2 Payment Authorization

By providing a payment method, you represent that you are authorized to use it and that all payment information is accurate. You authorize The Honor Union to charge your payment method for Products purchased, subscription renewals, shipping charges, and applicable taxes.

10. Shipping; Title; Risk of Loss

Products are shipped via third-party carriers. All delivery times are estimates only and are not guaranteed. Unless otherwise required by law, title and risk of loss transfer to you upon delivery to the carrier. International customers are responsible for any customs duties and import taxes.

11. Delivery Confirmation

Carrier delivery confirmation shall be deemed conclusive proof of delivery to the address provided by you, even without a signature.

12. Returns & Refunds

Please review our Refund Policy for complete terms. Unless otherwise stated in the Refund Policy, all sales are final. Refunds, where applicable, are processed to the original payment method. Shipping and handling fees are non-refundable.

13. Subscriptions; Automatic Renewal; Cancellation

13.1 Subscription Enrollment

The Website offers a subscription membership program called The Honor Club ("Subscription Service") that provides recurring benefits. By completing a purchase that includes enrollment in The Honor Club, you agree that your subscription includes recurring payment obligations and that The Honor Union is authorized to charge your payment method automatically at the selected billing interval until cancelled.

13.2 Clear and Conspicuous Disclosure; Affirmative Consent

Before you complete your purchase and enroll in The Honor Club Subscription Service, we present a clear and conspicuous notice directly adjacent to the purchase confirmation button that discloses all of the following:

• That your subscription will automatically renew and you will be charged on a recurring basis unless you cancel;

• The amount you will be charged per billing cycle ($29.99) and the billing frequency (every 28 days, with the first charge occurring 14 days after your initial order);

• That you may cancel at any time by logging into your account portal or by emailing Hello@thehonorunionusa.com;

• A direct link to our cancellation portal.

By clicking "Complete Order" or any equivalent purchase confirmation button, you are taking an affirmative action expressly confirming your consent to the recurring charges. We do not use pre-checked boxes or other default mechanisms to obtain this consent.

13.3 Automatic Renewal; Post-Enrollment Confirmation

UNLESS YOU CANCEL IN ACCORDANCE WITH THESE TERMS, YOUR HONOR CLUB MEMBERSHIP WILL AUTOMATICALLY RENEW EVERY 28 DAYS AT $29.99, WITH THE FIRST CHARGE OCCURRING 14 DAYS AFTER YOUR INITIAL ORDER. IF PRICING CHANGES, WE WILL PROVIDE ADVANCE NOTICE AS REQUIRED BY LAW.

13.4 How to Cancel; No Unreasonable Barriers

You may cancel your Honor Club membership at any time through any of the following methods. To avoid being charged for the next billing cycle, cancellation must be completed at least twenty-four (24) hours before your next scheduled billing date.

• Online (easiest): Log into your member portal using your email address and follow the cancellation steps. No phone call required. Cancellation takes effect immediately upon on-screen confirmation.

• Email: Send a cancellation request to Hello@thehonorunionusa.com. We will confirm your cancellation within one (1) business day.

We will not require you to speak with a live representative, complete a retention flow, or take any steps beyond those described above in order to cancel. You will receive a cancellation confirmation email. No further recurring charges will be processed after cancellation is confirmed.

13.5 Account Updater Disclosure

We may use an automatic account updater service provided by our payment processor. This service may update your stored payment information (e.g., card number or expiration date) if your card issuer provides updated information. If you do not wish to have your payment information automatically updated, you must remove your stored payment method or cancel your subscription.

13.6 Failed Payments; Reauthorization

If a recurring charge fails, you authorize us to retry the charge, contact you for updated payment information, and suspend membership benefits until payment is received. Your continued enrollment constitutes reaffirmation of your authorization to charge your payment method.

13.7 California Subscriber Rights

If you are a California resident, the following additional disclosures apply pursuant to California Business and Professions Code Section 17601 et seq. (the Automatic Renewal Law):

• Automatic Renewal Terms: Your Honor Club membership will automatically renew every 28 days at $29.99, unless you cancel before the next renewal date.

• Cancellation: You may cancel at any time by logging into your member portal or by emailing Hello@thehonorunionusa.com. We will not make it difficult for you to cancel.

• Refund for Unauthorized Charges: If we fail to provide the required disclosures prior to your enrollment, we will provide a full refund of any charges you did not authorize. Contact Hello@thehonorunionusa.com to request a refund under this provision.

14. Cause Marketing; Charitable Donations

The Honor Union contributes a portion of proceeds to support veteran service dog training programs through partnerships with verified 501(c)(3) nonprofit organizations. Contribution amounts vary and are determined at The Honor Union's sole discretion. The Honor Union is not itself a nonprofit organization; charitable contributions are made by The Honor Union on behalf of its customers.

15. User Content; Reviews & Submissions

By submitting reviews, testimonials, comments, or other content, you grant The Honor Union a perpetual, worldwide, royalty-free license to use, reproduce, modify, and distribute such content for business and marketing purposes. You represent that you own all rights in the content and that it is truthful and not misleading. We reserve the right to remove content that violates these Terms or applicable law.

16. Disclaimer of Warranties

THE WEBSITE, PRODUCTS, AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE HONOR UNION DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, RELIABILITY, AND AVAILABILITY.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE HONOR UNION OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR MULTIPLE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE WEBSITE, ANY PRODUCT PURCHASE, OR ANY SUBSCRIPTION SERVICE.

17.1 Cap on Direct Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE HONOR UNION'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO THE HONOR UNION DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). THIS AMOUNT SHALL CONSTITUTE YOUR SOLE AND EXCLUSIVE REMEDY.

18. Indemnification

You agree to defend, indemnify, and hold harmless The Honor Union and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Website or Products, your violation of any law, or your violation of any third-party rights.

19. Limitation on Time to File Claims

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, ANY PRODUCT, OR ANY SUBSCRIPTION SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES. IF NOT COMMENCED WITHIN THAT PERIOD, THE CLAIM IS PERMANENTLY BARRED.

20. Dispute Resolution; Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

EXCEPT AS EXPRESSLY PROVIDED BELOW, YOU AND THE HONOR UNION AGREE TO RESOLVE ALL DISPUTES EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION.

20.1 Agreement to Arbitrate

You and The Honor Union agree that any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Website, any Product, any subscription or automatic renewal, or any alleged misrepresentation (collectively, "Dispute") shall be resolved exclusively through binding, confidential arbitration on an individual basis.

20.2 Federal Arbitration Act

These Terms evidence a transaction in interstate commerce. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation, enforcement, and proceedings under this arbitration agreement.

20.3 Mandatory Pre-Arbitration Notice

Before initiating arbitration, the initiating party must send a written Notice of Dispute by certified mail including: full name, mailing address, email associated with the account, description of the claim, and specific relief sought. Notice to The Honor Union must be sent to:

The parties shall engage in good-faith efforts to resolve the Dispute for thirty (30) days before filing arbitration.

20.4 Arbitration Procedure

Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules before a single neutral arbitrator. The arbitrator is authorized to award all remedies available in an individual action under applicable substantive law. The arbitrator may not award relief on a class, representative, or consolidated basis.

20.5 Small Claims Exception

Either party may bring an individual action in small claims court.

20.6 Equitable Relief

Notwithstanding the foregoing, The Honor Union may seek injunctive or equitable relief in state or federal courts for claims involving intellectual property, confidential information, fraud, or misuse of the Website.

21. Class Action Waiver

YOU AND THE HONOR UNION AGREE THAT ALL DISPUTES SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, SERVE AS A CLASS REPRESENTATIVE, ACT AS A PRIVATE ATTORNEY GENERAL, OR JOIN OR CONSOLIDATE CLAIMS. THE ARBITRATOR HAS NO AUTHORITY TO CONDUCT CLASS PROCEEDINGS.

22. Mass Action Waiver

No Dispute shall be brought as a "Mass Action." A "Mass Action" means twenty-five (25) or more similar arbitration demands filed within one hundred eighty (180) days and coordinated by the same or affiliated counsel. Such claims shall not be consolidated or administered collectively without The Honor Union's consent.

23. Jury Trial Waiver

IF ANY DISPUTE PROCEEDS IN COURT, YOU AND THE HONOR UNION WAIVE THE RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT PERMITTED BY LAW.

24. Opt-Out Right

You may opt out of the arbitration agreement within thirty (30) days of first acceptance of these Terms by sending written notice via certified mail to The Honor Union USA, Attn: Legal Department, Logan, Utah, United States. Your opt-out notice must include your name, address, email, and a clear statement of your intent to opt out. Opting out does not affect your other rights or obligations under these Terms.

25. Severability

If any portion of the arbitration agreement is found unenforceable as to a specific claim, that claim shall proceed in court while all other claims remain subject to arbitration. If any other provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

26. Governing Law

Except as otherwise provided in Section 20, these Terms shall be governed by the laws of the State of Utah, without regard to conflict-of-law principles. You and The Honor Union consent to venue and personal jurisdiction in the state and federal courts located in Logan, Utah for any matters not subject to arbitration.

27. Force Majeure

The Honor Union shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from causes beyond our reasonable control, including acts of God, natural disasters, pandemic or public health emergencies, labor disputes, supply chain disruptions, governmental actions, war or terrorism, internet service failures, payment processor outages, or carrier delays.

28. Third-Party Websites & Links

We may link to third-party websites. We are not responsible for their content, practices, accuracy, or legality. Use them at your own risk.

29. SMS / Mobile Messaging

The Honor Union may offer a mobile messaging program. By opting in, you expressly consent to receive recurring marketing and transactional text messages from or on behalf of The Honor Union at the mobile number provided. Consent is not a condition of purchase. Message and data rates may apply. You may opt out at any time by replying STOP.

30. Assignment

You may not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. The Honor Union may assign or transfer these Terms without restriction in connection with a merger, acquisition, or sale of assets.

31. Termination

These Terms remain in effect until terminated. We may terminate or suspend your access at any time for violations. Provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and payment obligations survive termination.

32. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and The Honor Union regarding your use of the Website and purchase of Products.
